Terms of Service
Last updated: 3 September 2026
1. Agreement to these terms
These Terms of Service (“Terms”) govern access to and use of DueFiler (“the Platform”, “we”, “us”), operated by Spaculus Software, 13th Floor, Vihav Supremus, Off Gotri Rd, Near Iscon Heights, Gotri, Vadodara, Gujarat, India. By creating an account, accepting an invitation to a Tenant's workspace, or otherwise using the Platform, the entity or individual doing so (“you”) agrees to be bound by these Terms. If you are accepting these Terms on behalf of a Practising Company Secretary firm or other organization (a “Tenant”), you confirm you have the authority to bind that Tenant, and “you” in these Terms refers to that Tenant as well as the individual acting on its behalf.
2. What the Platform is
DueFiler is business-to-business, subscription software for Practising Company Secretary firms to manage their own statutory ROC/MCA compliance work — client and entity records, tasks and filings, document versioning and review, invoicing, and related registers — for the companies that Tenant firm serves.
DueFiler has no public sign-up and no end-client login. Every User account is created by a Tenant's own Admin, and a Tenant firm's own clients are never Users of the Platform — all contact with a Tenant's clients happens outside the Platform. DueFiler does not provide legal, company-secretarial, or tax advice; it is a tool a qualified PCS firm uses to organize and track its own professional work, and each Tenant remains solely responsible for the accuracy, timeliness, and correctness of any filing, advice, or professional service it delivers using the Platform.
3. Accounts and access
A Tenant's Admin is responsible for every User account created under that Tenant's workspace, including assigning appropriate roles/permissions and deactivating a User promptly when access should end. You are responsible for keeping your own login credentials confidential and for all activity under your account. Notify us promptly at the contact in §12 if you suspect unauthorized access.
We reserve the right to suspend or terminate an account that we reasonably believe is being used in violation of these Terms or in a way that risks the security or integrity of the Platform or another Tenant's data.
4. Subscriptions, free trial, and billing
Paid access to the Platform is sold as a subscription, with plans and pricing set out at the time of purchase or upgrade. New Tenants receive an initial free trial period; if the trial expires without upgrading to a paid plan, the Tenant's account becomes read-only — existing data stays fully viewable and exportable, but no new or changed data can be created until a paid plan is active.
Storage and user-seat limits are set by the Tenant's chosen plan and any add-ons purchased on top of it. Fees are billed in advance for the billing interval (monthly or yearly) chosen at signup or upgrade, and, unless stated otherwise at the time of purchase, are non-refundable for the remainder of an already-paid period. We may change our pricing or plan structure with reasonable advance notice to affected Tenants; continued use of the Platform after a pricing change takes effect constitutes acceptance of the new pricing for subsequent billing periods.
5. Acceptable use
You agree not to, and not to permit any User under your account to:
- Use the Platform to store or transmit unlawful content, or in a way that infringes another party's intellectual property or privacy rights.
- Attempt to access another Tenant's data, bypass the Platform's tenant isolation, or probe, scan, or test the vulnerability of the Platform or its infrastructure without our prior written permission.
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform, except to the extent applicable law expressly permits this despite the restriction.
- Use the Platform to send unsolicited bulk communications, or in a manner that violates the acceptable-use terms of a connected third-party service (e.g. Google or Meta, see §7).
- Resell, sublicense, or provide the Platform to any third party as a standalone service outside the scope of your own subscription.
6. Data ownership and your responsibilities
As between you and us, a Tenant retains all ownership of the client, business, and compliance data it enters into or uploads to the Platform (“Tenant Data”). We do not claim ownership of Tenant Data and use it only to provide the Platform's services to that Tenant, as described in our Privacy Policy.
Each Tenant is solely responsible for the accuracy and completeness of the Tenant Data it enters, for its own compliance with applicable law (including data-protection law governing the personal data of its own clients' directors, employees, and other individuals), and for configuring its own users' roles and permissions appropriately. Where a Tenant connects an email mailbox or WhatsApp Business number to the Platform, that Tenant is responsible for having the right to do so and for how that connected account's data is used within the Platform.
7. Third-party integrations
The Platform can optionally connect to third-party services a Tenant chooses to use, including Google (Gmail/Google Workspace, for the Unified Inbox) and Meta (WhatsApp Business Cloud API). Use of those connections is also subject to that provider's own terms of service, and we are not responsible for the availability, acts, or omissions of any third-party service. A Tenant can disconnect a connected account at any time, as described in our Privacy Policy.
8. Intellectual property
The Platform, including its software, design, and underlying technology, is owned by Spaculus Software and its licensors and is protected by applicable intellectual property law. Subject to your compliance with these Terms, we grant your Tenant a limited, non-exclusive, non-transferable right to access and use the Platform for its own internal business purposes during the term of its subscription. No other rights are granted.
9. Disclaimers and limitation of liability
The Platform is provided “as is” and “as available.” While we take reasonable care to keep the Platform available, secure, and free of errors, we do not warrant that it will be uninterrupted or error-free, and we do not warrant the outcome of any filing, task, or professional service a Tenant performs using it. The Platform is a practice-management tool, not a substitute for a Tenant's own professional judgment or obligations under the Companies Act, 2013 or any other applicable law.
To the maximum extent permitted by applicable law, Spaculus Software will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to use of the Platform. Our total liability for any claim arising out of or relating to these Terms or the Platform will not exceed the amount actually paid by the affected Tenant for the subscription in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
A Tenant may stop using the Platform, or cancel its subscription, at any time in accordance with the cancellation terms presented at the time of purchase. We may suspend or terminate access to the Platform for a material breach of these Terms that is not cured within a reasonable time after notice, or immediately where necessary to protect the security or integrity of the Platform or another Tenant's data. Sections that by their nature should survive termination (including §6, §8, §9, and §11) will continue to apply after these Terms end.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of Vadodara, Gujarat, India.
12. Changes to these terms
We may update these Terms from time to time, for example as new features or integrations are added. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be communicated to Tenant Admins directly; continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
Questions about these Terms can be sent to web.ketan@spaculus.info or by phone at +91-740-540-7700.
